Terms of Use.

01Scope

These Terms of Use apply to each individual user accessing or using the Lextract software services made available to the relevant client or client affiliate under a separate software services agreement between Lextract GmbH and such client. These Terms of Use govern the user's individual use of the services. In the event of any conflict between these Terms of Use and the applicable software services agreement, the software services agreement shall prevail.

02Permitted Use

The services may only be used for professional purposes in connection with legal due diligence, document review, legal research, contract analysis and related legal work. The user shall use the services only in accordance with applicable laws, professional obligations, internal policies of the client or client affiliate, and any instructions provided by Lextract or the client. The user shall not use the services for unlawful, abusive, harmful, misleading or unauthorised purposes.

03User Account and Security

The user shall keep login credentials confidential and shall not share access credentials with any other person. The user shall not allow unauthorised persons to access the services through the user's account. The user shall promptly notify the client or Lextract if the user becomes aware of any unauthorised access, suspected compromise of login credentials, or security incident relating to the services.

04User Content and Uploaded Documents

The user is responsible for all documents, data, prompts, information and other materials uploaded, entered or otherwise submitted to the services. The user shall only upload or submit content if the user is authorised to do so and if such upload or submission complies with applicable law, professional secrecy obligations, confidentiality obligations, data protection laws and third-party rights. The user shall not upload or submit content that:

• (a) contains malware, viruses, trojans or other harmful code;
• (b) infringes intellectual property rights, trade secrets, confidentiality rights, privacy rights or other rights of third parties;
• (c) is unlawful, discriminatory, defamatory, offensive, misleading or otherwise inappropriate;
• (d) is not permitted to be processed through the services under applicable professional, regulatory or contractual obligations.

05AI Outputs and Professional Review

The services may generate summaries, suggestions, classifications, extractions, analyses or other outputs based on user input and uploaded documents. The user acknowledges that such outputs are generated by automated systems and may be inaccurate, incomplete, outdated, misleading or otherwise unsuitable for the intended purpose. The services do not constitute legal advice and do not replace independent professional judgment, legal review or decision-making by qualified legal professionals. The user is responsible for independently reviewing, verifying and validating all outputs before relying on them, sharing them or incorporating them into any work product.

06Prohibited Conduct

The user shall not:

• (a) interfere with or disrupt the integrity, security or performance of the services;
• (b) attempt to gain unauthorised access to the services or related systems;
• (c) reverse engineer, decompile, disassemble, copy, modify or derive source code, algorithms, models, methods or technical processes from the services, except to the extent expressly permitted by mandatory law;
• (d) use automated tools, bots, scraping, crawling or similar methods to access or extract data from the services;
• (e) attempt to circumvent usage limits, security controls or access restrictions;
• (f) use the services to develop, train, improve or benchmark competing products or services;
• (g) attempt to extract system prompts, model parameters, security configurations or non-public technical information;
• (h) intentionally submit prompts or content designed to manipulate, bypass, degrade or compromise the services or their underlying systems.

07Confidentiality and Professional Secrecy

The user shall treat all information accessed, processed or generated through the services as confidential to the extent required by applicable law, professional obligations, internal policies or contractual duties. Where the user is subject to legal professional secrecy, attorney-client privilege or equivalent confidentiality obligations, the user remains responsible for using the services in compliance with those obligations.

08Intellectual Property

Lextract and its licensors retain all rights, title and interest in and to the services, including all software, technology, know-how, workflows, designs, interfaces, databases, models, algorithms and documentation. No rights are granted to the user except the limited right to use the services in accordance with these Terms of Use and the applicable software services agreement. Work products exported or created by the client or users based on their own uploaded documents and review work remain subject to the terms of the applicable software services agreement.

09Suspension

Lextract may suspend or restrict a user's access to the services where reasonably necessary to protect the security, integrity or availability of the services, to prevent unauthorised or unlawful use, to comply with legal or regulatory requirements, or where there are reasonable indications that the user has breached these Terms of Use. Any suspension shall be limited to the extent reasonably necessary under the circumstances.

10No Separate Commercial Terms

These Terms of Use do not create any payment obligations of the user towards Lextract and do not amend the commercial, liability, data protection or confidentiality arrangements agreed between Lextract and the client under the applicable software services agreement.

11Changes

Lextract may update these Terms of Use from time to time, in particular to reflect changes in the services, legal requirements, security standards or operational requirements. Material changes will be communicated in an appropriate manner.

12Governing Law

These Terms of Use are governed by German law, unless mandatory applicable law provides otherwise.
